By uploading files to us you agree to the following terms between you and us (and any of our licensees and assigns):-
• You own or control all rights in and to any audio-visual material that you upload to us (Video Clip) and you have the authorisation of all people featured in the Video Clip to upload the Video Clip for inclusion as part of our promotional video for our new record entitled “Spirit of Love” (the Spirit of Love Video). In the event that anyone featured in the Video Clip is under 18 years of age you must have permission of their guardian to submit the Video Clip.
• In full and final consideration of the sum of £1 (receipt of which you acknowledge) you irrevocably grant to us the exclusive right to record and reproduce the Video Clip as part of and in synchronisation with the Spirit of Love Video and you grant to us an irrevocable exclusive licence to exhibit, publicly perform, communicate to the public, broadcast, distribute and make available for promotional purposes only the Video Clip as embodied in the Spirit of Love Video throughout the world for the life of copyright.
• You agree that we may edit the Video Clip for inclusion in the Spirit of Love Video.
• You acknowledge and accept that we do not guarantee inclusion of the Video Clip in the Spirit of Love Video.
• You warrant and confirm that you have the legal right to enter and agree to the terms of this Agreement; that the Video Clip will not infringe the copyright or other right(s) in any other work, recording or of any third party; you will indemnify us against all liabilities, damages, costs, expenses and loss incurred by us due to any breach of this Agreement or any claim that is inconsistent with your warranties under this Agreement.
• We or any of our licensees and assigns may assign, transfer or sub-license the rights licensed hereunder at any time to any third party without your consent.
• This Agreement is governed by and will be construed in accordance with the laws of England and the parties agree to submit to the exclusive jurisdiction of the English courts.
